Terms & Conditions
These Terms and Conditions apply to all services provided by Waterproof Web Wizard GmbH via spam-checker.waterproof.agency, in particular the free URL scan tool and paid website security audit and remediation services. These terms are intended for business customers (B2B) only.
1. Scope
These terms apply to all contracts between Waterproof Web Wizard GmbH (hereinafter "Provider") and business customers ("Client") for services related to website security analysis, Black Hat SEO detection, and website remediation. Deviating terms of the Client do not apply unless expressly agreed in writing.
2. Free scan tool
The URL scan tool available on this website is provided free of charge and without any contractual obligation. Scan results are informational only. The Provider makes no guarantee that all vulnerabilities, injections, or manipulations will be detected. Use of the scan tool does not constitute a service contract.
3. Paid services
Paid services (security audit, remediation, monitoring) are agreed on an individual basis. The scope, timeline, and remuneration are defined in the respective offer accepted by the Client. All prices are net prices excluding VAT unless otherwise stated.
4. Remuneration and payment
Remuneration is governed by the individual agreement. Invoices are due within 14 days of issue unless otherwise agreed. Rights of use are transferred only upon full payment.
5. Duties of the Client
The Client is responsible for providing timely access, credentials, and cooperation necessary for the performance of services. The Provider is not liable for delays caused by the Client's failure to cooperate. The Client warrants that they are authorised to request analysis of the submitted URLs and websites.
6. Liability
The Provider is fully liable for intent and gross negligence. In cases of slight negligence, liability is limited to foreseeable, typical damage and only where an essential contractual obligation has been breached. Scan results from the free tool are advisory and non-binding; no liability arises from reliance on them. In no event shall liability exceed the total remuneration paid for the respective service.
7. Warranty
The statutory limitation period for defects is one (1) year from acceptance. Minor defects that do not materially impair the service do not give rise to warranty claims.
8. Confidentiality
The Provider treats all business information, access credentials, and findings disclosed during the engagement as strictly confidential and will not share them with third parties.
9. Use of AI tools
The Provider may use AI-assisted tools in the delivery of services. All AI-generated outputs are reviewed by a human professional before delivery. The Client may opt out of AI-assisted processing by notifying the Provider in advance.
10. Data protection
Data processing is governed by our Privacy Policy. If personal data is processed on behalf of the Client, a data processing agreement pursuant to Art. 28 GDPR will be concluded separately.
11. Governing law and jurisdiction
These terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from this contractual relationship is Baienfurt, Germany.
